Lahore January 18 2022: Octopus to held Extra Ordinary Meeting to consider and if deemed fit, to pass the following resolutions as special resolutions, with or without any modifications, the Company be and is hereby authorized to grant, offer, issue, and allot shares after establishing “Octopus Digital Limited Employee Stock Option Scheme 2022” (the ESOS 2022).
The approval of the Members of the Company be and is hereby granted to establish a Stock Option Scheme to be known as the Octopus Digital Limited Employees Share Option Scheme 2022 (the Scheme), to offer issue and grant options to eligible employees’ to subscribe up to 10% of the paid-up capital (as increased from time to time) of the Company.
Chief Executive Officer and/or Company Secretary of the company jointly and/or severally, to execute any document(s) and to take all actions necessary to give effect to the proposed resolution.
BoD further resolved that under the Companies (Further Issue of Shares) Regulations, 2020, the grant of options equal to or exceeding (1%) one percent of the issued or paid-up capital of the company at the time of grant of options, within one year, to identified employees be and is hereby approved.”
BoD will also consider approval under the Companies (Further Issue of Shares) Regulations, 2020 the grant of options to any employee of subsidiary or holding Company, be and is hereby approved.”
An Extraordinary General Meeting of Octopus Digital Limited “Company” will be held on Wednesday, 09 February 2022 at 03:00 PM via Zoom video link.
The meeting will be held online due to 5th wave of COVID-19/OMICRON, the Company internal SOPs of HSE department has imposed restrictions on indoor and outdoor gatherings and other recreational activities.
